dc.description.abstract	El presente trabajo es un acercamiento al concepto del Business Judgment Rule, pasando por los orígenes en el derecho anglosajón, su fundamento o justificación y su aplicación en el derecho colombiano. Se expondrán los problemas que se podrían llegar a dar o que se han dado en Colombia al incluir esta figura jurídica en el ordenamiento colombiano. Las principales dificultades frente a esta regla se refieren a: i) las acciones en contra del administrador; ii) la incongruencia de las entidades en la aplicación de la regla de discrecionalidad; y iii) el desarrollo superficial de la Business Judgment Rule en la Superintendencia de Sociedades.	spa

dc.description.abstractenglish	This paper is an approach to the main features of the Business Judgment Rule. In this way, we will talk about the origins of this rule, going through the main decisions in which the rule has been used; the justification of the rule and the way it has been used in Colombia. We also introduce the problems that could arise by including this figure in the Colombian legal system. The main difficulties regarding this rule are: i) Actions against the administrator; ii) Inconsistency of the authority in the application of the discretion rule; and iii) Superficial development of the Business Judgment rule in the Superintendency of Societies.	spa
