The Regulation of Electronic Securities: A Path Towards the Consolidation of Electronic CommerceResumen
Por su función normativa, el derecho está llamado a brindar seguridad jurídica y establecer marcos regulatorios que permitan adaptar las instituciones jurídicas clásicas al contexto digital. En el presente artículo científico se analiza el tratamiento actual de los títulos valores electrónicos en el ordenamiento jurídico colombiano, resaltando que, aunque la normatividad es bastante amplia, esta resulta insuficiente y al estar dispersa impide gozar de los amplios beneficios que estos representan, afectando el desenvolvimiento del comercio electrónico. Lo anterior hace evidente la necesidad de adoptar una regulación específica sobre los títulos valores electrónicos, para lo cual el legislador puede tener como criterios orientadores la Ley Modelo de la CNUDMI sobre Documentos Transmisibles Electrónicos, así como las experiencias exitosas en otros Estados.
Abstract
Due to the normative function, the law is called to provide legal security and establish regulatory frameworks that allow the adaptation of classic legal institutions to the digital context. In this scientific article, the current treatment of electronic titles in the Colombian legal system is analyzed, highlighting that, although the regulations are quite broad, this is insufficient and dispersed, which prevents enjoying the benefits that these represent, also affecting the development of electronic commerce. The foregoing makes evident the need to adopt a specific regulation on electronic titles, for which the legislator may have as criteria guide the UNCITRAL Model Law on Electronic Transferable Records, as well as the successful experiences in other States.
