THE COLOMBIAN MARKET: COMPARATIVE STUDY BETWEEN THE LEGISLATION OF COLOMBIA AND THE LEGISLATION OF THE STATE OF DELAWAREResumen
El presente artículo pretende hacer un aporte académico, desde el derecho comparado, en la determinación de una estructura societaria para constituir Start-ups en Colombia con mayores protecciones y beneficios para sus accionistas, administradores, empleados y en general cualquier tercero interesado en la compañía. Partimos del interés de los emprendedores colombianos en atraer financiamiento para su negocio, especialmente de fuente extranjera. Este artículo hará uso del Derecho Comparado para contrastar la jurisdicción colombiana y jurisdicciones con legislaciones que fomentan la constitución de sociedades. El presente artículo es el resultado de una investigación iniciada en el marco de la clase Derecho Comercial, donde se decidió investigar las connotaciones comerciales de este tema de estudio.
Abstract
This paper aims to make an academic contribution, from comparative law, in the determination of a corporate structure to incorporate Start-ups in Colombia with greater protections and benefits for its shareholders, administrators, employees, and stake-holders. We start from the interest of Colombian entrepreneurs in attracting financing for their business, especially from foreign sources. This article will make use of comparative law to contrast the Colombian jurisdiction and jurisdictions with legislation that encourage the incorporation of companies. This paper is the result of a research initiated within the framework of the Commercial Law class, where it was decided to investigate the commercial connotations of this subject of study.
